Public offer

This document constitutes a public offer under article 437 of the Russian Civil Code. Vectra (the "Contractor") offers website development, web application and related services (the "Services"). Submitting a request through the Site and/or making a prepayment is deemed a full and unconditional acceptance of this Offer.

1. Subject

The Contractor undertakes to provide the Services as assigned by the Client. Scope and price are agreed in a brief or invoice. Services may include: landing pages, corporate websites, online stores; integration of AI services, CRM systems and payment providers; SEO audits and ongoing support.

2. Workflow

Upon receiving a request the Contractor contacts the Client to clarify requirements, scope, timeline and price. Work is delivered in stages: market analysis, copywriting, prototype, design, development, launch. Each stage is approved by the Client in writing (including electronic correspondence and messengers).

3. Price and payment

The price of the Services is fixed in the invoice or contract annex. Standard payment schedule — 50% prepayment before work starts, 50% upon approval of the final result. Payments are made by bank transfer in RUB or another currency agreed between the parties. Prices listed on the Site are informational.

4. Timeline

Delivery dates are agreed on a per-project basis and recorded in the brief. Dates may be changed by mutual agreement, in particular if the scope changes or the Client delays providing required materials.

5. Exclusive rights

Upon full payment for the Services, exclusive rights to the deliverables (source code, design files, content) are transferred to the Client. The Contractor reserves the right to feature completed work in its portfolio and marketing materials unless otherwise agreed in writing.

6. Liability

The parties are liable under applicable law. The Contractor is not liable for: content provided by the Client; the availability of third-party services (hosting, domain, CRM, payment providers); the Client's lost profits.

7. Force majeure

The parties are released from liability in case of force majeure circumstances: natural disasters, military actions, acts of public authorities that make performance impossible. The affected party shall notify the other within five business days.

8. Dispute resolution

Disputes are resolved through negotiation. If no agreement is reached, the dispute is referred to the court at the location of the Contractor in accordance with applicable law.
